IQLIQ Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the IQLIQ SuperApp platform, including all related websites, mobile applications, APIs, products, features, technologies, content, and services (collectively, the “Service”).

The Service is operated by IQLIQ Technologies FZ-LLC, a company incorporated under the laws of the United Arab Emirates (“IQLIQ,” “we,” “us,” or “our”).

By accessing or using IQLIQ, creating an account, connecting a social media platform, or participating in any module of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. The IQLIQ Service
IQLIQ provides a structured digital ecosystem combining social commerce, ecommerce, influencer collaboration, rewards, referral systems, subscription tiers, campaign management tools, and internal wallet infrastructure. The Service is designed to connect brands, influencers, vendors, agencies, drivers, and users within a performance-based marketplace environment.
The Service includes an ecommerce marketplace for purchasing products, a gig and influencer collaboration marketplace for campaign participation, a proprietary rewards system called Qoyns, referral programs, subscription models, vendor tools, and ledger-based wallet systems. IQLIQ operates as a digital marketplace and marketing technology platform and does not function as a bank, remittance service, stored-value facility, investment platform, or financial institution.

2. User Authorization & Social Account Connection
By connecting your social media account to IQLIQ, you expressly authorize us to access, retrieve, store, and display data permitted by the respective platform APIs. This includes publicly available statistics such as follower counts, engagement metrics, posts count, video metadata, and other data authorized under that platform’s API permissions.
You acknowledge that such access is necessary for influencer discovery, campaign performance tracking, ranking algorithms, and collaboration tools. You remain responsible for ensuring that you have the legal right to connect and authorize the account. If you disconnect your account, associated OAuth tokens will be revoked and access will cease.
IQLIQ only accesses data authorized by official platform APIs and does not access private content beyond permitted scopes.

3. OAuth & Platform Compliance
When you connect third-party platforms (including Meta, TikTok, and YouTube), you agree to comply with the respective platform’s Terms of Service and Developer Policies. You understand that IQLIQ is not affiliated with, endorsed by, or sponsored by Meta, TikTok, Google, or YouTube.
By authorizing connection, you permit IQLIQ to access only the data allowed by the relevant APIs. You agree not to use IQLIQ in a manner that violates any third-party platform’s policies, including artificial engagement manipulation, automation misuse, botting, scraping, or policy circumvention.
Failure to comply with third-party platform policies may result in suspension of your IQLIQ account.

4. What Data We Access and Why
IQLIQ accesses and processes account information, public social statistics, campaign participation data, wallet balances, referral data, and usage logs in order to operate the platform. Data is used for influencer discovery, campaign execution, ecommerce functionality, rewards distribution, fraud detection, personalization, and compliance.
We do not sell personal data. All data is stored securely in cloud infrastructure using encryption, role-based access controls, and restricted internal permissions. Access to data is limited to authorized users within the platform interface according to role-based visibility rules.

5. Your Account & Eligibility
To use IQLIQ, you must be at least 18 years old and legally capable of entering into a binding agreement. You must provide accurate, complete, and updated information. Where required, you must complete identity verification (KYC) procedures.
You are responsible for safeguarding your login credentials and for all activity conducted through your account. You are responsible for properly linking and maintaining your social media accounts. IQLIQ is not responsible for errors caused by incorrect linkage or unauthorized third-party access to your accounts.

6. User Commitments & Acceptable Use
By using IQLIQ, you agree that you will not impersonate any person or entity, create fake accounts, manipulate campaign KPIs, artificially inflate engagement metrics, exploit referral structures, circumvent wallet rules, attempt to withdraw non-withdrawable Qoyns, upload unlawful or misleading content, or interfere with platform infrastructure.
Automated scraping, data harvesting, bot usage, automation misuse, reverse engineering, API abuse, or unauthorized system access are strictly prohibited. Any attempt to bypass platform controls or exploit reward mechanics may result in enforcement action.
You are solely responsible for compliance with advertising disclosure laws and applicable consumer protection regulations.

7. Qoyns Reward System
Qoyns are proprietary promotional reward units issued within the IQLIQ ecosystem. Qoyns are not legal tender, not bank deposits, not stored-value instruments, and have no intrinsic cash value. Usage of Qoyns may be capped, including a maximum limit of a 50% cart value discount per transaction, and may be capped in usage per transaction or per month They are ledger-based accounting entries used within the platform under defined rules.
Qoyns may expire at month-end, may be subject to burn mechanisms, and may be capped in usage per transaction or per month. Qoyns cannot be withdrawn or converted into fiat currency except where expressly permitted for certain roles under defined eligibility conditions. IQLIQ reserves the right to reverse fraudulent credits, claw back manipulated rewards, and suspend wallet privileges.

8. Wallet System
IQLIQ may provide a Qoyns Wallet, Cash Wallet (for permitted roles), and Vendor Wallet. Wallet balances represent internal ledger entries only and do not constitute bank deposits or insured accounts. Wallet balances are not interest-bearing. Wallet balances are not interest-bearing and are not insured by any financial authority
Role-based restrictions apply to transferability and withdrawal rights. Free-tier users may have restricted wallet access. Withdrawal eligibility is conditional upon compliance with platform rules.

9. Referral & Subscription Model
IQLIQ may offer subscription tiers and referral incentive programs. These are promotional incentive structures and do not constitute investment schemes, employment relationships, or income guarantees. Participation is subject to eligibility requirements and upgrade rules.
Abuse of referral systems, including circular referrals or self-referral schemes, is strictly prohibited.
IQLIQ generates revenue through subscription fees, vendor commissions, advertising placements, campaign management fees, and service fees on platform transactions.

10. Vendor, Influencer & Agency Rules
Vendors may use Qoyns for cashback promotions but cannot withdraw Qoyns. Vendors must comply with UAE consumer protection laws. Influencers must comply with UAE advertising disclosure regulations and applicable sponsorship transparency requirements. Agencies operate under delegated access only and may not withdraw client funds or manipulate campaign data.
Separate agreements may apply to agencies and vendors.

11. Payment Terms
Subscription fees are payable in USD unless otherwise stated. VAT may apply under UAE law. Payment failures may result in downgrade or suspension. Payment processing may be handled through approved third-party gateways.

12. Data Accuracy Disclaimer
IQLIQ relies on third-party platform APIs for public statistics and engagement data. We are not responsible for inaccuracies, delays, or discrepancies in data provided by third-party platforms. Platform outages, API changes, or policy modifications may affect service functionality.

13. Termination & Token Revocation
You may terminate your account at any time by deleting it through account settings. Upon termination, OAuth tokens will be revoked, access permissions removed, and associated wallets deactivated.
IQLIQ may suspend or terminate accounts for breach of these Terms, regulatory requirements, fraud investigation, or operational risk. Upon termination, unused or expired Qoyns will not be reinstated. We reserve the right to freeze wallets, reverse transactions, or block referrals in cases of misuse.

14. Fraud, Abuse & Enforcement
Fraud includes, but is not limited to, fake gig completions, circular referrals, self-referral abuse, device manipulation, payment abuse, KPI falsification, and KYC circumvention. IQLIQ may investigate suspected abuse and take enforcement action including suspension, wallet freezing, transaction reversal, or permanent termination.

15. Intellectual Property
IQLIQ retains all rights to its platform software, system architecture, algorithms, reward mechanisms, data models, trademarks, and brand assets. Users retain ownership of content they upload but grant IQLIQ a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote such content within the Service.
You may not copy, reproduce, distribute, reverse engineer, or exploit any part of the platform without written permission.

16. Limitation of Liability
To the maximum extent permitted under UAE law, IQLIQ is not liable for indirect, incidental, or consequential damages. We are not responsible for vendor product quality, disputes between users, influencer-brand contractual disagreements, or losses resulting from third-party platform changes.
Our liability is capped at the total subscription fees paid by you in the preceding 12 months.

17. Data & Privacy
Use of the Service is subject to the IQLIQ Privacy Policy. By using IQLIQ, you consent to necessary data processing, secure cloud storage, cross-border hosting where required, and fraud detection monitoring. IQLIQ does not sell user data.
You may delete your account at any time through the platform or by contacting support. Data deletion procedures are described in the Privacy Policy.

18. Regulatory Positioning
IQLIQ operates as a digital marketplace and social commerce facilitator. It is not a bank, remittance provider, financial advisory service, securities platform, or stored-value institution. Users remain responsible for their own tax obligations.

19. Governing Law
These Terms are governed by the laws of the United Arab Emirates. Disputes shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

20. Modifications
We may modify these Terms at any time. Continued use of the Service after updates constitutes acceptance of the revised Terms.
By using IQLIQ, you confirm that you understand what you are agreeing to, what you are permitted to do, what you are prohibited from doing, how your data is handled, and the consequences of misuse.
